Terms of Service
These terms govern use of the zotta.ai website and the Zotta LMS platform provided by ZOTTA AI LTD ("Zotta", "we", "us"). By using the website or the platform you agree to them. If you use the platform under a signed agreement between Zotta and your organisation, that agreement prevails where it conflicts with these terms.
1. The service
Zotta LMS is a business-to-business loan management platform covering origination, underwriting, disbursement, servicing, collections, accounting and customer communication, including messaging over WhatsApp, SMS and email. The platform is provided to lenders and credit providers ("clients") and used by their authorised staff ("users").
2. Accounts and access
- Accounts are created for named users by the client's administrator or by Zotta on the client's instruction.
- Users must keep credentials confidential, use multi-factor authentication where offered, and tell us promptly about any suspected unauthorised access.
- The client is responsible for all activity under its users' accounts and for removing access when staff leave.
3. Client responsibilities
The client is the data controller for its customers' data and is responsible for:
- Holding any licences, registrations or regulatory approvals required to lend in its jurisdiction.
- Collecting customer data lawfully, giving customers the required privacy notices, and obtaining any consents needed.
- Configuring credit rules, pricing, communications and collections practices in line with applicable consumer protection and fair lending laws.
- The accuracy of the data it enters and the decisions it takes using the platform. Zotta's analytics and AI features assist human decision-makers and do not replace the client's own judgement or legal duties.
4. WhatsApp messaging
Zotta is a technology provider on the WhatsApp Business Platform operated by Meta. Where a client uses Zotta to send or receive WhatsApp messages:
- The client connects its own WhatsApp Business Account and phone number to Zotta through Meta's onboarding flow, and remains the owner of that account.
- The client must comply with the WhatsApp Business Terms, the WhatsApp Business Messaging Policy and the Commerce Policy, including obtaining customers' opt-in before sending messages and honouring opt-out requests.
- Message templates are subject to Meta's review and approval. Meta, not Zotta, decides whether a template is approved and may change categories and pricing.
- Meta charges conversation fees. Unless the client's agreement with Zotta says otherwise, these fees are billed to the payment method the client registers with Meta for its WhatsApp Business Account.
- Meta may impose messaging limits, quality ratings and restrictions on the client's account. Zotta will surface these where possible but does not control them.
- Zotta may suspend WhatsApp features for a client whose use, in Zotta's reasonable opinion, breaches Meta's policies or these terms, to protect Zotta's own standing on the platform.
5. Acceptable use
Clients and users must not use the platform to:
- Send unsolicited, deceptive, harassing or unlawful messages, or messages that customers have not opted in to receive.
- Discriminate unlawfully in credit decisions or collections.
- Upload malicious code, probe or disrupt the service, or access data belonging to another client.
- Reverse engineer the platform or resell access without our written agreement.
6. Fees
Platform fees are set out in the client's commercial agreement with Zotta. Third-party charges, including Meta's WhatsApp conversation fees, SMS carrier fees and credit bureau fees, are passed through or billed directly by the third party as stated in that agreement.
7. Data protection
Our Privacy Policy explains how we handle personal data. For client customer data we act as processor under a data processing agreement forming part of the client's commercial agreement. Clients can request deletion of their data as described on our Data Deletion page.
8. Intellectual property
Zotta and its licensors own the platform, its software, documentation and branding. Clients own the data they enter and the outputs generated from it. Clients grant Zotta a licence to host and process that data solely to provide the service.
9. Availability and support
We aim to keep the platform available at all times but do not guarantee uninterrupted service. Planned maintenance is announced in advance where practicable. Service levels and support hours, where agreed, are set out in the client's commercial agreement.
10. Disclaimer
Except as expressly stated in a signed agreement, the website and platform are provided "as is" without warranties of any kind. Analytics, recommendations and AI-generated content are decision-support tools and may contain errors. The client remains responsible for its lending decisions and regulatory compliance.
11. Limitation of liability
Nothing in these terms excludes liability that cannot be excluded by law. Subject to that, Zotta is not liable for indirect or consequential loss, loss of profit, or loss of data caused by events outside its reasonable control, and Zotta's total liability arising from use of the website is limited to £100. Liability for use of the platform is governed by the client's commercial agreement.
12. Suspension and termination
We may suspend or end access for a material breach of these terms, for non-payment, or where required by law or by a platform provider such as Meta. On termination we return or delete client data as described in the Privacy Policy.
13. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless a client's commercial agreement says otherwise.
14. Changes
We may update these terms. The effective date at the top shows the current version. Continued use after a change means acceptance of the updated terms.
